CFTC Crypto Regulation Proposal Details

The new guidelines propose a shift away from traditional securities models, which have often been criticized as overly restrictive for the dynamic digital asset markets. Instead, the CFTC aims to establish a more tailored approach for CFTC-registered crypto exchanges.

Two key proposals are at the forefront of this initiative:

  1. Regulation Crypto Asset Transactions (Regulation CTX)
    This framework focuses on the derivatives and financing aspects of the crypto industry. It regulates retail crypto trading that utilizes borrowed funds, leverage, and margin under Section 2(c)(2)(D) of the Commodity Exchange Act. Notably, the CFTC will recognize crypto transactions sent to non-custodial wallets as “actual delivery” if completed within 28 days, allowing for more flexibility in normal crypto buying and self-custody without heavy exchange regulation.

  2. Regulation Crypto Asset Markets (Regulation CAM)
    This framework addresses market structure and platform registration. The CFTC proposes new, optional federal licenses for crypto exchanges under its Designated Contracts Management (DCM) system. These licenses would require strict operational protections, including proof-of-reserves audits and anti-money laundering safeguards. A significant advantage of this federal license is that it allows exchanges to bypass state-by-state regulations, enabling them to offer retailers financed or leveraged trading—activities currently prohibited at the state level.

While the benefits of federal and state licensing differ, the CFTC will maintain ultimate oversight across the entire system, ensuring a cohesive regulatory environment.

Following the proposal’s publication in the Federal Register, stakeholders, industry participants, and the public will have a 60-day commentary period to provide feedback. While many view this as a positive step toward clearer regulations, industry lawyers caution that the guidelines may lack permanence and could be subject to changes with shifts in agency leadership or presidential administrations.
